Byron Allen’s digital film distribution wing Freestyle Digital Media has acquired the documentary King of Kings: Chasing Edward Jones.
The Quincy Jones and Debbie Allen produced documentary from European filmmaker Harriet Marin Jones explores her searching for the truth about her grandfather, Edward Jones. Known as the most famous policy king, Jones rose to political and financial prominence in Depression-era Chicago.
“Despite the years of research and the never-ending difficulties to find the funds to finance the film, as a filmmaker, I could not have asked for a better story to share with the world,” the filmmaker said in a release. “As Edward Jones’s granddaughter, I had access to countless anecdotes and personal documents retracing his incredible journey in the midst of major historical events.”
“Gangster for some, hero for others, who was really Edward Jones?” a release for the film questions. Jones became one of the richest...

Edgar Bronfman Jr. has abruptly dropped his eleventh-hour bid for Paramount Global. The decision came as the clock ticked down on the time frame within which his group had to finalize a firm offer that could be a viable alternative to Skydance Media’s pending takeover agreement.
Late Monday, Paramount Global’s special committee handling its long M&a process issued a statement closing the door on the company’s “go-shop” period and expressing its intent to move forward with the Skydance Media deal. The committee noted in a statement that “contacted more than 50 third parties” to see if there was interest in bidding for the storied owner of Paramount Pictures, CBS, MTV, Nickelodeon, BET, VH1, Comedy Central and more.
“On behalf of the Special Committee we thank Mr. Bronfman and his investor group for their interest and efforts,” said Charles E. Phillips, Jr., Chair of Paramount Global’s special committee.

“Bel-Air” showrunner Carla Banks Waddles opened up about how she was able to nab heavy-hitter Black entrepreneurs to make a cameo in Season 3, Episode 2: “Pivot.” Those guest stars were Entertainment Studios founder Byron Allen, Uncle Nearest cofounder Fawn Weaver, and Mielle Organics’ CEO Monique Rodriguez and COO Melvin Rodriguez.
As the episode’s title suggest, “Bel-Air’s” two lead characters, Will (Jabari Banks) and Carlton (Olly Sholotan), set off on a new journey into entrepreneurship. On top of trying to come up with a good idea for a start-up to pitch to venture capitalist Quentin (Vic Mensa), they’ve both taken summer jobs at a local country club. In an effort to inspire them, and to provide real-life examples of what successful Black business owners look like, Uncle Phil (Adrian Holmes) called on some of friends. Ultimately, the quartet appears towards the end of the episode at a celebratory...

Update 4:47 Et: News this morning of a big new potential buyer for Paramount Global could very well be a giant hoax.
The press release originally announcing the news, issued by BusinessWire.com and picked up widely, has now been pulled after a “kill” request for the release was issued around 3 p.m. Et. Reps for BusinessWire did not respond to multiple requests for comment. A listed PR rep for the release also did not respond to multiple requests for comment.
The company Apex Capital Trust, which offered up to $43 billion in all cash, is described as a “conglomerate of financial institutions and financial-services providers,” but the listed bio for the company on the press release is riddled with oddities and inconsistencies. As first noted by the Financial Times, it includes mention of buying a 40 percent stake in a supposed technology giant called Simmtronics, a website that appears to have...

Edgar Bronfman Jr., the former chairman of Warner Music, is still interested in acquiring some or all of Paramount Global, according to numerous reports published by media outlets this week.
His interest comes during a 45-day “go shop” period by which Paramount’s executives and board of directors are allowed to weigh other offers for the company, following an earlier decision to accept a three-way merger and acquisition bid from Skydance Media and National Amusements.
The merger plan involving Skydance is now subject to a proposed class-action lawsuit filed by a Paramount common stock shareholder, who argues that it stands to substantially benefit National Amusements and its owner, Shari Redstone, while footing Paramount’s minority shareholders with the bill.
If Paramount moves forward with another offer, it would be liable for a $400 million break-up payment to Skydance.

Iac chairman Barry Diller signaled on Friday that he’s calling it quits on the company’s pursuit of Paramount Global.
Earlier this month, Iac signed nondisclosure agreements with National Amusements to explore a possible bid, an individual previously confirmed to TheWrap.
But the Ellison family and RedBird Capital Partners ultimately reached a two-step, $8 billion deal with Paramount’s controlling shareholder Shari Redstone that would see the former acquire her holding company National Amusements before merging David Ellison’s Skydance Media with Paramount Global. Approximately $6 billion of that total financing is coming from David’s father and Oracle co-founder, Larry Ellison.
“It’s hard to predict, but I think it is over,” Diller told CNBC in an interview on Friday. “It is unwise to get in an auction with someone who has a pretty much unlimited balance sheet.”

Skydance Media has reached a tentative deal to acquire National Amusements, the majority shareholder of Paramount Global, as part of a broader strategy to merge the two entertainment businesses.
On Tuesday, the Wall Street Journal said discussions between Skydance Media and National Amusements owner Shari Redstone had reignited, about three weeks after the newspaper reported that talks between the two sides had broken down.
At the time, the Journal said Redstone and Skydance Media could not agree on whether their deal should be subject to a vote by Paramount’s minority shareholders. Redstone supported the vote, while Skydance did not, according to reports.
That issue now appears to be resolved, with Skydance willing to pay $1.75 billion to buy National Amusements from Redstone. Subject to the approval of a special committee at Paramount,...

Jetzt also wieder Skydance.

In a stunning reversal, David Ellison’s Skydance Media and Paramount Global controlling shareholder Shari Redstone have returned to the M&a altar.
The companies have reached terms on a revised merger agreement for Redstone’s National Amusements Inc. just three weeks after Redstone abruptly pulled out of a planned combination, multiple people familiar with the talks told Deadline. Nai controls almost 80% of voting shares in Paramount.
A special committee of Paramount’s board of directors, which was formed to evaluate strategic options for the troubled media company, is currently reviewing the updated deal terms, according to sources. The Wall Street Journal earlier Tuesday reported on the revived discussions.
Reps from Paramount, Skydance and Nai declined comment.
The proposal currently being considered would see Skydance pay $1.75 billion for Nai. That’s less than what the parties had previously agreed to for the first step in a two-step transaction bringing Nai under...

It’s back to the negotiating table.
Shari Redstone’s National Amusements (Nai) and David Ellison’s Skydance Media are reengaging on talks that could lead to a change in ownership for Paramount Global, a source confirms to The Hollywood Reporter. The next step is for the potential agreement to go to Paramount’s special committee of the board of directors. A Nai rep declined to comment.
The move marks the latest twist in a corporate soap opera that saw Redstone walk away from a deal in June that would’ve effectively merged the owner of CBS, Showtime, Paramount Pictures and Nickelodeon with the multimedia production company that has co-financed Top Gun: Maverick and Mission: Impossible franchise entries. The New York Times first reported on Tuesday that talks have restarted.

After several stops and starts, Paramount Global appears to be renewing its effort to sell off its BET Media Group assets.
The Shari Redstone-controlled media company is in talks with Cc Capital chief Chinh Chu, whose private equity firm is backing BET president Scott Mills in a bid for the BET assets, Bloomberg reported on Tuesday. A rep for Paramount declined to comment and Cc Capital did not reply for comment.
The unit — comprising the BET channel, streamer BET+ as well as VH1 and BET Studios — has been up for sale multiple times in the past several years as Paramount has reevaluated which properties to keep or sell as it navigates changing corporate strategies and executive turnover. Mills, who joined BET in 1997, has served in numerous leadership roles at its parent company and gained oversight of VH1 in 2022.

Paramount Global stock jumped 6% on Tuesday on the latest report the company has resumed talking to potential buyers of select assets after pausing the divestments during ultimately fruitless merger talks with Skydance Media.
A group of investors is holding exclusive talks with Paramount about a bid of $1.6 billion for BET Media Group, Bloomberg reported today. Among the cadre of potential buyers are BET CEO Scott Mills and Chinh Chu, the former Blackstone exec who now runs New York-based private equity firm Cc Capital.
Paramount’s battered stock, which slipped below $10 last month, closed Tuesday at $10.72 on average trading volume. It was the highest closing price for the shares since the abrupt end of merger talks with Skydance on June 12.

Paramount Global is engaged in conversations to sell BET Media for up to $1.7 billion, according to a report from Bloomberg on Tuesday.
The report says Paramount is weighing an offer from a consortium of buyers that includes BET CEO Scott Mills and Chinh Chu, the head of a private equity firm based in New York City.
The discussions come several months after Paramount entertained an offer from the duo to acquire BET Media for less than $2 billion, which was lower than what the company was hoping to attract for the brand. BET Media includes the BET and VH1 cable channels, as well as Paramount’s stake in BET Plus, which operates as a joint venture with comedian Tyler Perry.

After more than a year of keeping BET Media Group on the market, it appears Paramount Global may be ready to sell.
The powers that be at Paramount Global are searching for savings everywhere, these days. The company wants to cut as much as $500 million from its balance sheet as it tries to plan its next steps, and one of the options available to it is to divest itself of assets like its linear TV channels. A new report from Bloomberg indicates that sale talks surrounding BET have begun again, as the channel’s current CEO Scott Mills has rekindled his interest in owning the channel.
Key Details: Mills is partnering with Cc Capital to try and acquire BET. An offer of around $1.7 billion has been extended for the channel. Media mogul Byron Allen and BET co-owner Tyler Perry have had interest in the past, but have seemingly dropped out of the process.

It was probably fortunate for Paramount Global shareholders that Wall Street had Juneteenth off. The rumor mill did not take a holiday.
How close were Shari Redstone and David Ellison to striking a deal for Nai, in turn striking a deal to merge Paramount with Skydance? Exactly two minutes away (from the consummation meeting), according to Variety. That’s when an email from the Redstone camp to the Ellison camp landed, saying Nai would not be moving forward with the deal.
The email was not exactly well-received. The lawyers scrambled, the expletives flew, and Paramount Global’s stock price (Para) sunk to its lowest point in five years.
What happened? Ellison had already taken out $8 billion at the Atm.
After months of negotiations, including one month of exclusivity in those negotiations, Redstone bailed on a deal that would have sold her family’s National Amusements, Inc. movie-theater chain to the...

Paramount’s stock fell below $10 per share on Monday, marking a record low for the struggling media conglomerate with its lowest price since Viacom and CBS merged in 2019.
Shares hit a 52-week low of $9.81 per share, well off its 52-week high of $17.50 per share on Dec. 11. The stock finished the day’s trading session at $9.83.
The company, currently at a market capitalization of $6.86 billion with long-term debt of $14.6 billion, has seen its stock price fall 80.5% in the past five years, 37% in the past year, 31% year to date, 36% in the past six months and 18% in the past month.
The latest decline comes after controlling shareholder Shari Redstone scrapped merger talks with David Ellison’s Skydance Media last week. The two-step plan would’ve seen Ellison acquire Redstone’s National Amusements, which controls 77% of Paramount’s voting stock, before merging Skydance with the studio to create a combined company.

Call it trial by fire: Skydance said it is “stronger” for having gone through the Paramount fiasco, Skydance CEO David Ellison wrote in a note to his employees (obtained by IndieWire). But is Paramount?
What say you, three Paramount Global CEOs?
“As we look ahead, we are confident about what’s in store for Paramount,” reads a studio memo released Wednesday to staff (also obtained by IndieWire). “We believe in you and we believe in Paramount.”
This vote of confidence comes after Shari Redstone said “I’m out” at the last minute, most likely fearing a lawsuit should any unhappy minority shareholders sue to block the deal.
Shareholders may not have liked it, but a Paramount-Skydance merger was potentially the best option for the industry as a whole. Small-scale consolidation should mean small job losses — especially considering Paramount has already laid off hundreds in anticipation. Had Paramount Global gone to...

The Paramount drama will continue to drag on now that Redstone has ended discussions with Skydance CEO David Ellison.
After months of negotiations, several stops and starts, and what looked like encouraging signs that a deal was close, the possibility that Paramount Global will merge with Skydance Media is officially over. Talks broke down early this week, and on Tuesday Paramount’s controlling shareholder Shari Redstone said via a statement from her holding company National Amusements Inc. (Nai) that the two sides had “not been able to reach mutually acceptable terms” for a merger. So what else is on the table for Paramount at the moment, and what does the company’s future look like after its most promising deal prospect is now officially dead?

When David Ellison’s Skydance made a play for Paramount last fall it was how and when (not if) Shari Redstone would tie the knot. Paramount and Skydance worked together. He valued the studio and its crown jewel of a backlot and planned to keep the company together. He was offering her a nice bundle of cash for her stake in National Amusements.
They talked, and talked, and talked. Potential suitor Warner Bros Discovery faded away, as did Byron Allen, who made an actual offer for the company. Par and Skydance entered an exclusive negotiating period for the month of April. When the lock-up ended with no deal, doubt crept in. Sony jumped into the mix. Yet the two sides continued talking intensely up through this past weekend.

Paramount: Now (finally) Under New Ownership! A special committee at the company has approved a deal that will merge Paramount Global with Skydance after David Ellison acquires National Amusements, Inc. (Nai) for about $2 billion.
The National Amusements theater chain has a controlling interest in Paramount. Skydance Media CEO Ellison is paying for that control, and then he’ll make Paramount buy his production company.
All told, it is expected to cost Ellison and his financial backers at RedBird Capital Partners in the ballpark of $8 billion to make this happen, as first reported by CNBC’s David Faber. On top of Shari Redstone’s $2 billion for her family’s Nai, $4.5 billion more will go to current Paramount shareholders; another $1.5 billion in cash will be contributed to Paramount’s balance sheet. The numbers are pretty fresh and could still change some, a person with knowledge of the goings-on tells IndieWire.

Seth Meyers had a relatively short set at Monday’s NBCUniversal upfront, but he still got his shots in. Like this one on NBCU competitor Paramount: “I found $20 on the street this morning,” Meyers said. “Long story short, I’m one of the two finalists [to buy] Paramount.”
We’re not sure the Paramount Global special committee is going to take that offer seriously — kind of like Byron Allen’s. See? We’ve got jokes too.
For real though, the two entities playing tug-of-war with Paramount are 1) David Ellison’s Skydance and 2) a Sony/Apollo Global Management contingent.
Meyers had a few punchlines chambered for his employer. Like this one, on NBCU streaming service Peacock: “Peacock continues to prove that the easiest way to make a billion dollars is to spend eight [billion].”
Peacock is not only (still) losing a ton of money, it has yet to reveal a profitable-by date; even Paramount+ has one of those.
